Maintenance Plan Terms and Conditions

1. Services Provided

1.1 The service provider (Smart AV LLC Dba Cinemascape) agrees to provide maintenance services as outlined in the attached maintenance plan document.

1.2 The maintenance services may include but are not limited to routine inspections, repairs, updates, and any other services specified in the maintenance plan.

1.3 Maintenance service plan hours are Monday-Saturday 8am-5pm. Technical Service and Support is closed on Sundays.

2. Duration and Termination

2.1 The maintenance plan is on a month-to-month basis and shall automatically renew each month unless either party provides written notice of termination.

2.2 Either party may terminate the maintenance plan for any reason with written notice.

2.3 Upon termination, the service provider shall complete any outstanding maintenance services and provide a final report to the client.

2.4 If a client cancels within one year of the equipment installation date after receiving a 10% discount on their equipment, the discount will be void, and the client will be responsible for paying the remaining 10% of the equipment cost.

3. Fees and Payment

3.1 The client agrees to pay the monthly maintenance fee as specified in the maintenance plan.

3.2 Payment is due on the exact date of the invoice.

3.3 Failure to make timely payments may result in suspension or termination of maintenance services.

4. Responsibilities of the Client

4.1 The client agrees to provide the service provider with access to the necessary equipment and facilities required to perform the maintenance services.

4.2 The client is responsible for promptly reporting any issues or concerns related to the maintenance services.

5. Responsibilities of the Service Provider

5.1 The service provider agrees to perform the maintenance services with reasonable care and skill.

5.2 The service provider will make reasonable efforts to respond promptly to maintenance requests and perform necessary repairs.

6. Limitation of Liability

6.1 The service provider shall not be liable for any consequential, incidental, or indirect damages arising out of the provision of maintenance services.

7. Confidentiality

7.1 Both parties agree to keep confidential any proprietary information or trade secrets disclosed during the provision of maintenance services.

8. Governing Law

8.1 This agreement shall be governed by and construed in accordance with the laws of Arizona.

9. Miscellaneous

9.1 This agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether oral or written.

9.2 Any modifications to this agreement must be in writing and signed by both parties.
